Darrel,

As reported in the S1's, Frank owned 5.15M shares 6/30/97 and 4.6M on 12/31/97. We know that he picked up 1.3M shares from options during October of that year. He must have sold 1.85M shares during the period. Form 4's (those declaring a sale of stock) don't have to be filed in Edgar. Sometimes they get picked up but usually the 144's (those declaring intent to sell) are all that show up. The S1 is the most reliable document, imo.

Here is the excerpt from the SEC Edgar page:

Form 3: An initial filing of equity securities filed by every director, officer, or owner of more than ten percent of a class of equity securities. Contains information on the reporting person's relationship to the company and on purchases and sales of equity securities. This form type is not required to be filed with the EDGAR system.

Form 4: Any changes to a previously filed form 3 are reported in this filing. This form type is not required to be filed with the EDGAR system.

I talked with Helen today to verify the selling of shares back in end of last year (97)/start of year(98) time frame. Helen could not give me an exact number, over 600,000 shares were sold. Mr Peters still has buku mucho shares, so I not really dinging about selling of shares. After talking with her I'm not as apprehensive about the burn rate. Also there is new investor info coming off the presses, so I look forward to seeing it as soon as I get it in the mail. I really appreciate the time she spent answering my questions. My concerns at this time are the tax selling season and getting a better understanding of this preffered share conversion stuff. Watching closely. Daniel Ortiz
