Keep in mind that every earning estimate you read in your EVDS booklet is based on 16,588,568 shares. Those estimates are pretty impressive. Even if the consulting firm gets that 1.5 million shares is not going to add up to 16,588,568 shares). It's not nearly 23% either(10% would be 1.2588 million shares. Don't sweat it, math is not my strength either or I would give you the exact percentage! Of course I agree with you that any dilution is bad, as far as we are concerned, but at least we know about the probability. So we could end up just north of 15 million shares with 1.5 million restricted for a full year. Personally I can live with it because there should not be anymore. I like the fact that the company is as open with us as they are about what's going on. I'm going to ask them to fax me the hard numbers in black and white on Monday.

I like the fact that they haven't issued shares up to the authorized number.

Maybe my math is off, but if they issue that 1.5M in February, isn't that closer to 10% (of the current issued) - and not 23%?

I also like that there are certain conditions to be satisfied or the shares won't be issued.

EDIT: Well, I see in a later post where you got your number, but 1.5M is approx. 10% of the current issued.
