My next point is who makes out in shorting the Reg D financing?
Well the Reg D guys make 15%. Not bad but not an incredible investment. The guys who make the big bucks are the ones who shorted at $5 and above believing that the Reg Der's best strategy is to short the box and take their 15% profits. The shorters with Risk have made 80% piggybacking the Reg D's shorts. Sort of not fair to the Reg D guys to make 15% when they were the ones who loan a company money, while the short who took risk who also believe they are in a heavily weighted game in their favor make allot more.
What would be interesting to know if any of the Reg Ders or friends or familiy in any of these companies short the common stock(risk:only thoretically, about 90% anyway) while they are shorting against the box and then doing better then their 15%.

Seems like there is room for allot of abuse, collusion and price manipulation given these circumstances?

Understanding more about Reg D then I'll ever want to know, Ed
