For $1B, they will get 3 fabs vs one if they build themselves. Not only is MU doing that, UMC is doing that too. Theya re buying/negotiating to buy obsolete fabs

There is a little more than that, but it is an act of desperation. They will not have to pay for any patents, to TI at least. However, the side that has not been discussed about that is all of the major patents are beyond the terms of where they can no longer be charged for use. It will save them about 140-180 million, just a little less than what TI was losing per quarter for the DRAM operation.

The other advantage of buying the TI fabs over spending money to complete Lehi is that completing Lehi would simply increase supply, while buying the TI fabs does not, except to the extent that they increase output.
