Fragrance Express Inc. Announces Signed Letter of Intent to Merge With National Boston Medical

POMPANO BEACH, Fla.--(BUSINESS WIRE)--Oct. 5, 1998--Fragrance Express Inc. (OTC BB:FGRX) Monday announced the merger of National Boston Medical and Fragrance Express Inc.

National Boston is a manufacturer and distributor of proprietary anti-viral and bacterial lotions, 440 (organ safe) steel surgical instruments, and other medical equipment.

National Boston, headquartered in Taunton, Mass., is projecting gross revenue of $49 million and a positive cash flow in excess of $13 million.

The projected revenue is a combination of the Bontempi Medical line, Safeshield(tm) germicidal skin protectant, and other medical related products. The addition of Fragrance Express Inc. will push the projected revenue well over $60 million.

National Boston estimates that by FY End 1999, the company will maintain a 12% market penetration of the Canadian Dental instrument market, and by FY End 2000, 15% of the American market.

Presently, the surgical instruments are manufactured in Europe, and enjoy a strong presence in the medical and dental community.

Fragrance Express Inc. is in the import, export and retail catalog and telemarketing industry. The company's products include fine fragrances, hand rolled cigars from Nicaragua, Irish Chocolates, and other gift items.

The company imports fragrances from around the world, cigars from Nicaragua and other points in the Southern Hemisphere, and chocolates from Europe.

Fragrance Express Inc. plans to roll out these products through retail catalog, internet, telemarketing sales, and proprietary interactive kiosk sales.

Daniel Hoyng, president of National Boston Medical said: "The integration of Fragrance Express and the synergy of distribution will streamline the telemarketing side of National Boston, as well as utilization of the contacts and experience, the management of Fragrance Express Inc., has for distributing these medical products to the Southern hemisphere. I feel good about the merger, and look at it more as a marriage than a merger."

Fragrance Express Inc. will be employing its state of the art, technologically advanced telemarketing systems, designed with the assistance of Lucent Technologies. The telemarketing center will incorporate tech support and sales for customers of National Boston, and will be used to support National Boston's sales reps in the field.

The telemarketing center employs audio and video interactively that can be accessed from Fragrance Express's in-store kiosk, the Internet, and can be incorporated into National Boston's customer base for product information.

Robert Bartlett, president of Fragrance Express Inc. said: "This merger is good for our stockholders and for both companies. The inroads that we have made into distribution over the last 15 years will prove advantageous to National Boston."
