CORP NOTICE / Enterprise Development Announces Retirement From
Board

CALGARY, ALBERTA--ENTERPRISE DEVELOPMENT CORPORATION (ED-ASE)
announced today that Mr. Ernest J. Jackson, P. Geoph., has retired
from the Board of Directors. Mr. Jackson, a leading geophysical
consultant in Western Canada has been a member of the Board since
1993. Mr. Jackson was instrumental in shaping the Corporation's
early exploration activities in Western Canada. He has elected to
pursue other personal interests. He remains a shareholder of the
Corporation, and will continue to be available in a geophysical
consulting capacity.

The Corporation also advises that it has extended the expiry date
of $0.27 warrants issued in May, 1998 as part of a private
placement of 400,000 Units. The original expiry date of May 15,
1999 has been extended to May 15, 2000. Such extension is deemed
to be in the best interests of the Corporation and the warrant
holder.
