Am I the only shareholder still out there?

If anyone else is interested, The CFO updated me on the closing
today. The company has filed a registration statement (S-4?) with the
SEC and expects the comment period to expire w/o mishap in a week.
They will then set the voting date for the shareholder meeting to
vote on the transaction, and shareholders should start getting notices
within a couple of weeks. The vote, esp. with one 25% s/h and some
institutional shareholders and an existing voting agreement, is a
foregone conclusion. Applied Materials won't need a s/h mtg or a vote
since the transaction's immaterial for them.
Bottom line: If all goes smoothly, the deal should close
by year-end, rather than early next year. If AMAT's current stock
strenght holds, the conversion ratio will be .165 of AMAT per share,
rather than the .182 max. The pricing formula for the conversion is
in the 8K available on EDGAR's internet site. The pricing formula
depends on the average closing price in the 20 trading days
ending the 2nd trading day immediately preceding the shareholder
vote.
