<<My conversations yesterday afternoon with management sent shivers down my spine as I realized that they just don't get it.

They didn't grow this company internally. I believe the product transitions will take a longer than expected and during that time management will do nothing to help us out. I am truly more disappointed about this company than ever. >>

Hi WebDrone,
You can count on me taking a tape recorder to the meeting.

This post by Seth Leyton on Friday, Aug 28 1998
is engraved in my memory when we were frantic about trying to understand the Pink
incedent. As you know, Seth had been a very strong supporter of MRVC for a long time
and it was my take that he was close to management.
When he posted this, it was like a sword stuck in my and his stomach. He hasn't posted since.
I can not forget the many people that have written me and shared their horrible losses that had terrible results on these good people's lives.

My comment about protesting was in jest...sort of as I know it would be futile but
I do intend to let management know that IMO they have little respect for individual investors and something must change if this company is to
succeed and I am not too happy about them just letting Pink, etc take advantage without
a peep, even if he turned out to be mostly correct(except for the lies).

Please everyone, don't tell me management has more to lose than any of us and they built the company into what it is today. I know all this but individual investor's like myself lost
significant money and confidence in management.Where did they get the money to build the company?

The street was brutal to MRVC when management fessed up and informed us all what is now happening all over the world. I can't blame management for this.

I am so long in MRVC it is not funny and I hope I learned something from this error on my part.
IMO we will need a miracle if we are to recoup our investments.

Good Luck to All,

John

My protest vote was to vote against the few proposals coming up. Including doubling the authorized shares from 40M to 80M, and increasing the stock options. What I resent is turning to the
letter to shareholders in the annual report and having Noam tell me "we are pleased to report another record year at MRV". It is October 14, the annual meeting is scheduled for Oct. 30, and nowhere, not in
the annual report (where I wouldn't expect it), nor in the Notice of
Annual Meeting to Shareholders, nor in another letter that could have
been included, did I see any acknowledgement that MRV tanked and from
the 4th Q 1997 High of $37.75, through the 4th Q low of $21.13, this
stock has lost close to 75% of its market value, from the low of that last quarter. It seems to me that this is another example of total disregard for the shareholders. I could have used some acknowledgement, some encouragement, some evidence that management is
aware of shareholder concerns. Something more tangible than what we
have heard in the past.
