Yes, unfortunately he is still working on it. Lets face it Tobasco, nothing ever gets done as soon as we would like. Jim has been on the road doing his best to ensure the company will be selling lots of CAPSCANs. I guess you will agree that's more important than the share structure statement for now?

The rest of the story on shares issued:

I received the following information in a fax from Jim Crehan this morning. As of 4/24/98 Environmental Digital Systems had issued and distributed 12,588,658 shares.

The company has also issued but not distributed 6,975,000 shares for an employee stock plan with a $1 per share purchase price. These shares will have a two year restriction legend.

In the investment booklets we have received from Environmental Digital Systems an analysis of the company and an estimate of the number of shares that might be issued. This analysis prepared by Communications Capital Corporation estimated that earnings for 1998 would be estimated on 16,588,658 shares. In 1999 the number of shares distributed might reach 18,500,000.

As of this point in time the actual number of shares issued and distributed is still only 12,588,658 shares. Of these shares 9,483,297 shares are restricted. That leaves a public float of 3,105,361 shares. Even if employees are awarded some, or even all, of the additional 6,975,500 shares, these shares will be restricted for two years. Furthermore the company will receive $1 a share when they are purchased. I hope this clears up some of the confusion associated with the number of outstanding shares. Jim said in his fax that no further shares have been issued or are contemplated. I would like to thank him for taking the time to answer our questions and will do so the next time I call him.
