Hi Ted,

First of all, Jonathan did not mean to say 13D. A 13D is filed after the purchase is made by a shareholder who has more than 5% ownership.

I do not know the actual filing that is required.

I would have to search edgar, but doesn't NuVen hold 5% of the company already which would require Fred to file his possible intentions?
