Chaz, There's a difference. Shareholders cannot sue a third party on behalf of their company. Ciena management is the only representative of Ciena. So a class action against AT&T or Lucent would get nowhere. A shareholder can, however, sue himself, i.e. the company that he owns shares in. Not a smart move, though; the only person that benefits in the end is the lawyer.
