I have a feeling that Mr Gordon's business plan may have been to get the web site up and have some good stock price appreciation to $1 or $2. Then he could pay the web site developer and other vendors (legal, etc) in stock or options that would not dilute the shares outstanding very much.

Obviously that hasn't happened so he is on to plan B - get cash.

His options are:
PP with terms that are great for TSIG (good)
PP with terms that are great for PP investor (bad)
Sell shares on the market up to amount authorized (worse)
seek Reg S financing from foreign investors (investors run away)

Does anyone know where TSIG is headed?
