If you already sold those 5 million or however many shares (short) at higher prices, of course you would. If you convert, you're done, you've made the difference between your short sale price and the conversion price.

Your risk in NOT converting is unlimited if you're short, and you'll lose the millions you paid for the debentures IF you choose not to convert and the company can't repay your debentures in cash.
