It is time to dot our i's and cross our t's, to make sure that
your vote will count.

Most shares these days are held in street name. These shares
are held by your broker or financial institution on your behalf.

First download the Dissident Proxy link and print out one copy
for each account you have. If the company has sent you 3 proxies
then you need to print out 3 dissident proxies and fill them
in, marking your voting instuctions clearly in the places
provided. Make sure the account names are correct.

Sign and date the Dissident Proxy.

Fax your completed, signed, and dated Dissident Proxy to the
broker or financial institution that is holding your shares,
with instructions to VALIDATE THE PROXY AND IMMEDIATELY TAKE
ALL NECESSARY STEPS TO ENSURE THAT YOUR VOTING INSTRUCTIONS ARE
CARRIED OUT.

To be counted at the meeting, your Dissident Proxy must be
forwarded BY YOUR BROKER or financial institution to the
transfer agent no later than 6:00 P.M. Eastern Standard Time
(that's 3:00 P.M. Pacific) on WEDNESDAY, COTOBER 28, 1998!
Please remember that no matter how many people are involved
in the process of e-mailing your proxy, it must be at Montreal
Trust by the above date and time. Please follow through and
call for verification that your proxy has been sent through.

If you have encountered problems, I recommend that you or your
borker call ANY agent at Montreal Trust at (604) 661-1222.
