Why would such an experienced businessman do that?

Why would he so heavily discount the share price (.25) and not be paid up front? Shares were selling for $1.25 more on the market. Poorly structured Reg.S deals do not have to be discounted so significantly.

It is as if he wanted the huge spread...

How would one gain from this? What does Titan have to do with this?...

And by the way, in criticizing what Forthright's been saying, are you trying to tell us that the deal that Sylver cut with Mann (even as he himself describes it) was a shining example of normal and responsible business practice?
