So to understand this deal, NUOA has shares of FXWA worth about $40M. possibly restricted. They no longer own any property, as that was what the shares were traded for.

Sounds like everything hinges on FXWA. Is they were to go under, the warrants/options would be worthless, the note payable would be defaulted on, and the shares held would be worth nothing.

The focus here appears to be on FXWA to determine the value of NUOA?
