Why would Seagate want to sell its VRTS shares? To do so would subject it to a healthy tax bite, leaving SEG shareholders with less value for their troubles. If their aim was to rid themselves of Seagate Software they could have done a spin off to the shareholders and certainly arranged a tax-free acquisition by Veritas. Why burden shareholders with two levels of taxation? Seagate hardly needs extra cash.

The more I find out about Veritas the more positive I become on it. Yesterday they announced an agreement with Dell Computer Corporation.

I won't pretend to be an expert on this, but it looks like a positive to me. Is it possible that SEG's holdings in Veritas could become worth 3-5 billion dollars? Maybe so. Veritas looks like the locked- up leader on NT and it is growing like wildfire.
