G. ACQUISITION OF ASSETS

"Management disputes the allegation that the acquisition of Thermo Waste Exchange Inc. was the acquisition of a "worthless asset". Thermo Waste Exchange Inc. is a services company which was acquired at a price based on an industry standard multiple of earnings. The personnel gained by the Company through this acquisition have been disbursed throughout the Company's operations and continue to provide value to the Company determined to write down the goodwill associated with this acquisition."

This statement is pathetic. There were 6 personnel that were absorbed and some were ballooned within months of the acquisition. Bill Grahan is the only person still with TT. The purpose for the acquisition was for a small list of waste producers.

My guess is that this was a million dollar wash. >g<
