They claim that the 2nd quarter dividend has been paid in common stock and that 3rd quarter dividends are in arrears. They also say that the merger could adversely affect the company's ability to pay dividends in the future. It seems as if they may have abandoned the proposal to redeem the series A preferred. They now assume in their share calculations that all of the ROTIP will be converted into common stock. I'll have to take a closer look...

If the merger is consummated, the shareholders of the Company will retain their equity interests in the Company, although their equity interests will be only approximately 25% of the outstanding Common Stock of the surviving corporation, assuming that all shares of the Company's Series A Preferred Stock are converted to shares of Common Stock, but no shares of Common Stock are issued upon exercise of outstanding stock options, common stock purchase warrants or the conversion of any other securities. The current holders of TRC Common Stock will hold approximately 75% of the Company's outstanding Common Stock following the merger. The consummation of the merger will not result in any changes in the rights of shareholders of the Company. db 1
