National Boston Medical Announces One for Four Split,
and Fragrance Express Stock Dividend

Pompano Beach Florida - National Boston Medical (OTC BB: NBMX) Announces one for four split, and Fragrance Express stock dividend.

National Boston Medical, as part of its share exchange agreement and in preparation for filing a Form 10 effected a one for four reverse split of its common stock. The Company will be fully reporting upon acceptance of its Form 10 by the Securities and Exchange Commission. The Company intends to apply for NASDAQ Small Cap market upon acceptance of the Form 10.

Shareholders of record of Fragrance Express, Inc., as of the close of business October 8, 1998 will be issued a dividend of one share of Class B Convertible Preferred stock in Fragrance Express, Inc., a wholly owned subsidiary of National Boston Medical, Inc., for every ten shares held in Fragrance Express on October 8, 1998.

This Class B Convertible Preferred stock may be converted into common stock of Fragrance Express upon the earlier of three years after October 8, 1998 or upon spin off of Fragrance Express, Inc., after one year. These shares will convert into 2 shares of common stock each.

This whole thing has turned into a significant snarl. It will take a while to clairify it. I will put out what I guess to be the case knowing that I will be criticized by a swarm of angry people. If yesterday we owned a camel today we have a totally different animal.
New shares outstanding: around 20Million, New float: around 4 million
New book value probably significant but far less than $3. Company totally mismanaged handling the entire shareholder communication situation.

My guess is that many in the company are totally unaware of the stress that they have caused SI shareholders. I expressed that in no uncertain terms. I assume that many shareholders close to the Company are just fine but the average unconnected guy has a real problem.
I have one source in the company and two consultant types. Its like they are on different planets.
