You are correct. Holding excess cash, if anything makes the company more desirable to buy by reducing the out of pocket cost to the acquirer (if for cash).

If a company buys stock back, those shares cannot be voted whether actually "retired" or "held in treasury"-there is no practical distinction between the two concepts. Also, any shares purchased by the company in the open market would increase the percentage held by insiders or others favorable to mgt-if voting is the issue.

I wish people would get off the Mr. Pink caused the price to go down syndrome. If Mr. Pink's "lies" caused the price decline, it would be back at its rightful price by now. The price decline correctly forecast the poor operating results were are now seeing. Apparently we now have a 1999 earnings estimate of $.30, which the single digit price has been forecasting since the "overreaction" in late August.

The recent SEC action was aimed at paid, but undisclosed, pumpers and dumpers.
