The possible loss of key personnel and customers is another concern
we all have to pay special attention to.

Last year MSFT was luring NOVL's key personnel and customers and was
not very successful. Why? Eric Schmidt used the Stock options to keep
their key their key personnel with the restricting the time for
exercising their stock options after Sept. this year. Now, they can
exercise their options and can leave any time. MSFT found out this
is a good opportunity to lure their key employees. After their key
employees left, there is no reason for their customers to stay with
NOVL.

Senior vice-president Ronald Heinz must perceive this kind of
explosive crisis and decided to sell almost all of his shares.
Smart investors act before the crisis comes to the surface.
