WASHINGTON, Nov 2 (Reuters) - Bill Gates filed a statement covering the
possible sale of 1 million additional Microsoft Corp (Nasdaq:MSFT - news)
common shares worth about $106 million, a recent SEC document showed.

The co-founder and chief executive of the Redmond, Wash. software giant said he might sell the shares around
October 26 through Donaldson, Lufkin & Jenrette in New York, his form 144 filing on that date with the Securities
and Exchange Commission stated.

The possible sale would be on top of the more than 12 million shares that Gates and two Gates entities have sold
since July.

The 144 form merely notifies the securities regulatory agency of an intention to sell but does not obligate a sale. It
sometimes also lists actual sales that have gone through.

It was not immediately known if the one million shares were sold.

From July 31 through October 23, Gates disposed of 6,000,742 shares for more than $729 million while the Gates
Library Foundation sold 1.45 million shares from August 10-17 for over $153 million and the William H. Gates
Foundation sold 5.3 million shares for over $597 million, the SEC document said.

Microsoft has characterized previous Gates sales as a routine part of portfolio diversification.

Of the more than 2.4 billion Microsoft shares that are currently outstanding, Gates beneficially owned 515,777,800
shares, or 20.8 percent, as of September 11, according to Microsoft's latest proxy filed on September 24 with the
SEC.
