Those shares were registered in 1996. There is a new filing because the registrant has changed names, thats all it appears to be ..........;^)

Betty,
Offshore corporations pay zero tax on capital gains earned on stock (from publicly traded issues for which the offshore corp holds less than 10% of the outstanding stock) under IRS rules. So if the stock price appreciates, all the gain goes to the offshore corporation unless taxes are due to the offshore corp's country of domicile. (Bahamas, for example have no taxes for International Business Corporations.) On the other hand if there is a loss, the offshore corp cannot write it off and spread the loss to other taxpayers. The offshore corp takes all the risk of the investment and reaps all the rewards.
