Hi John
A few points of interest to me:

1) what effective rate of interest are you paying SOCO on the loan & debenture.
2) will the debt/debenture servicing cost(s) move UIC to negative earnings in the next quarters(s).
3) when have you projected the new division to become self-funding?

It seems that SOCO has confidence in UIC, however, I am concerned about what this added debt load will do to UIC over the next few quarters.

Regards, MGS
