I checked out the SEC filing--very thorough and complete. It appears that a number of insiders including top management are offering about 1/3 (4.4 million) of thier roughly 13 million shares for sale at a price of 1 3/8. None of the proceeds are going to the company so one can only assume it is for personal gain.

There are a few ways to look at this. Considering the salaries (very low) that management is being paid, it is not unreasonable that they take some profits from stock.

On the other hand, on wonders why indsiders would be unloading 1/3 of their stock at such low prices if they expect the company to do very well in the future. If Aquafuel is anywhere close to commercialization as recent releases would lead one to believe, then one would expect that insiders who understood its true value would want to hold as much of their stock as possible.

Such a large sale of stock by insiders without an explanation certainly does not inspire confidence, especially in an OTCBB stock.

Furthermore we now have outstanding shares over 18.2 million, although this offering does not represent any new shares.

Of course if Aquafuel is what it is suggested to be, then the stock price will go much higher. But in that case why would insiders be selling?

Perhaps the gentleman who offered to relay questions to Mr. Clancy would be kind enough to add this question.
