Elizabeth, Think competitively. Barrick can go along for a ride and let Newmont be the operator. They can compete with Newmont in the market for the shares or they can sell their interest to newmont later for $.
If Newmont operates it they can do so in such a way that Barrick gets less than if Barrick operated it. A few dozen extra high end employess looking(exploring) and what they find goes to Newmont etc.

Barrick has bever been a co-operator in the past. Will they this time? Will there be an agreement that is livable?
What evil lurks in the hearts and minds of men

The shadow knows, and so do Barrick and Newmont.

That is why there will be a war, and sooner not later.
