MY CONVERSATION WITH RENE
TONIGHT;PLEASE READ

I wrote a long letter to Rene the other day. I had expressed many of the concerns I
have about TT. I received a call from Rene tonight and we talked for about an
hour. We talked about US Thermo and he read me a letter that he later faxed to
me from Robert LaRochelle who works at that office. Rene had called Bob on
Nov 3 to inquire about the office there. In the letter that I will try to post tomorrow,
Robert states that they are in a first class professional facility located in the
prestigious community in Andover. He goes on to state that they are equipped with
a desk, executive chair, and two side chairs for clients. Thermo also has the use of
a very impressive conference room which is set up board room style. In addition
TT has the use of the reception area, kitchen, file room, and storage room. It also
talks of the phone lines and the use of both the copier and fax machines. Up to ten
hours a week of secretarial services are provided any additional will be charged at
$20 an hour. There is more I will try to post it.

Jim Coull and Robert are still with TT. There is also a new member to TT his name
is Kevin Simpson, he is a Harvard Grad and will be the new Pres of Thermo Tech
Bio Corp which I believe will cover all of the USA.

Richmond will open this month probably around the 15th. They DO HAVE waste
contracts for 350 tons per day.Waste will start to be delivered in a week and a half
to two weeks.

Hamilton II will open next month and He feels all permits and waste contracts will
be there if they are not already.

Rene is not even contemplating a reverse split. He feels with the revenues coming
from the three plants we will do just fine. He said even if he was to contemplate that
he would let the shareholders decide. He would rather go on the OTC.

As for NASDAQ they have a meeting scheduled where they will ask for an
extension. He feels with the volume and the revenue from the three plants and thier
business plan they will be able to get the extension.

As for the books he said the books are open to anyone and that he told J Taylor he
would personaly fly him up to Vancouver and let him go over the books. He says
they have nothing to hide. The invitation is there.

He also stated he was willing to open a couple more seats on the board to
shareholders. They would not go to the group. They would have to be qualified. But
he really seemed to think this would be good for the company.

We talked about the Group and how he offered them two seats and one adittional
seat that both would agree to but the group did not accept that deal. He feels they
had another agenda all along.

They are also working on getting Corinth open.

I asked about Chino, It sounded like they really have something there and we may
see something in a few weeks.

I asked about the financing he said the Group set us back with the takeover
attempt. Harvey is still in but it looks as if Todd is out. Rene and Harvey will have
to go it alone. He is still confident they will get it.

Rene said he is available to anyone. He answered most of all my questions and did
not once try to skirt on any of the issues. I did express my concern that we as
shreholders don't get enough answers. I then asked why the company did not tell us
some of these answers before ,He said they couldn't with the dissidents proxy.
They company did not wan't to show thier cards.

There was more but I am tired I will try to post more tomorrow along with the fax
about the Andover Office.

I took the time to write a letter to Rene and he did respond.I feel much better now
than I did this afternoon.

Tom

HERE IS WHAT THE FAX SAID

November 6,1998

Dear Mr. Branconnier,

Your phone call of Tuesday, November 3,1998 was appreciated. As
you requested, following is an update on the Andover office.

As you know, the office is located in the prestigious community of
Andover, Massachusetts.

The office is a corner office on the ninth floor of the main building and is
currently equipped with a desk, executive chair, and two side chairs for
clients. Thermo Tech also has the use of a very impressive conference
room which is set up board room style, in addition, Thermo Tech has the
use of the reception area, kitchen, file room, and storage room.

The phone situation is as follows: two lines were installed on August
17,1998 for U.S. Thermo Tech. Previously to these lines being set up,
we used Arthur McCabe's lines. Both phones are tied into the office
system and answered by the receptionist whose salary is shared by
McCabe and U.S.Thermo Tech.

U.S. Thermo Tech has the use of both the photocopier and fax machine.
Up to ten hours of secretarial services are provided. Any hours in
access of that allowance will be billed at $20.00 per hour.

As you can see, a very comprehensive arrangement was negotiated with
McCabe and Associates on this space. You may need to have a
computer to access the Internet or an E-mail system, but letters and
presentations can be handled by the in-house staff.

I have talked to Art McCabe about the balance due and he is willing to
work out a payment plan and to continue the lease.

I would appreciate you sending me the fees for August and September
and look forward to hearing from you in terms of our future
arrangments.

Sincerely,

Robert A LaRochelle.
