Possibly the preferred shares could be used in some manner as a defensive move in the event of a possible hostile takeover.

It certainly isn't needed for additional capital. They don't need all the capital they have now, if their not going to grow.

I'm somewhat puzzled to.

One last thing. I asked if the company was aware of the plight of the stock and if they were doing anything to enhance shareholder value.

He stated that yes they are aware of the situation and and felt that the best thing they could do is continue to post positive results in sales and earnings.

Also asked if "insiders" feel confident about the future prospects of the company why there has been no insider buying at these low levels. He stated that everyones situation is differant and that company officials do not always have the means to buy stock even if the price is low. And that he and other board members have ample amount of options that will prove to be an incentive to raise the performance of the company and increase the stock price.
