If there is a stock swap merger I think all listings would remain the same and there would be no tax consequences to either party . If one company buys another w/ cash, the bought company would no longer exist; therefore any exchange listings would cease (plus a tax bill). The stock swap, I think, is the most likely method for completing a merger.
