Tristani Endorses AT&T-TCI Deal

Washington -- FCC commissioner Gloria Tristani signaled Monday that she
favors AT&T Corp.'s $48 billion merger with Tele-Communications Inc.
because it could lead to greater competition in local phone markets.

"There are clearly some upsides to this merger. On its face, AT&T-TCI
certainly has some appeal," Tristani said in a speech to the National
Association of Regulatory Utility Commissioners in Orlando, Fla.

Tristani's endorsement was important because she is a Democrat and
former state regulator who has expressed concern about mergers in the
past due to their impact on consumer choice.

Although she said she would reserve final judgment until after reviewing
the Federal Communications Commission's staff's recommendation, Tristani
said consumers would benefit if TCI could rely on AT&T's expertise to
crack the local phone monopoly.

"It could be an opportunity to stimulate competition in the residential
market by giving TCI specialized expertise, greater financial resources
and a trusted brand name," she added.

Tristani also voiced doubts about two pending telephone-company mergers
-- SBC Communications Inc.'s takeover of Ameritech Corp., and Bell
Atlantic Corp.'s takeover of GTE Corp.
