This anti-takeover measure only goes into effect if someone tries to take over the company. It is all explained in their filing with the SEC.

This was one of the things that had to be straightened out before they said that they could go on the national market of the NASDAQ. Another as well as I can figure it is that their stock price has to be over $3.75.

No they're just issuing preferred purchase rights. Call em options, warrants, whatever, it's the same idea. They're free, but you'll have to pay for the preferred, probably pretty steep too.

The question is, will the preferred rights trade in their own market.
