Netscape to Acquire AtWeb

Netscape Communications Corp., Mountain View, Calif., plans to acquire AtWeb Inc., an online Web site services company based in Sunnyvale, Calif. Software company Netscape plans to issue about 3.36 million of its shares to purchase 100% of AtWeb's outstanding sshares and options and expects the acquisition will be accounted for as a pooling of interests. Based on Netscape's closing price Wednesday of $28.31, the transaction is valued at $95.1 million. Netscape said the acquisition is part of its plan to expand its Netcenter portal site into a portal network by linking its installed user base to Netcenter services and independent Web sites. The acquisition will integrate more than 600,000 Web sites into Netscape Netcenter. Netscape expects the transaction will close in the first fiscal quarter of 1999, subject to customary approvals. Netscape plans to maintain AtWeb as a unit, with AtWeb reporting into the Netscape Netcenter division.
