You both have good points but the key issues for me are that...

1) the primary beneficiaries of options (both # and price) are upper level managers (not the avg. employee).

2) the pricing control was to be given to upper level managers "without prior shareholder approval".

This is the fox guarding the hen house.

If you want to keep your people with options, substantiate the benefits and present those points to the shareholders and get the shareholders' approval. Timing is not usually so immediate that you cannot take the opportunity to run it by the OWNERS of the company. Management works for the shareholder and NOT the other way around.
