The explanations are well-known. I think Gretchen Morgenson did an excellent piece on this issue sometime back for Forbes (or maybe it was the NY Times). There was some thoughtful analysis on CNBC (rare, but this occasionally happens) on this very issue by a compensation analyst, in which it he pointed out that top management had managed to subvert shareholders legitimate desire to make management more accountable to the bottom line, into yet another way in which top managers feather their own nests out of sight of shareholders.

My position is that an employee ought to be paid what he is worth in cash, and that the compensation needs to be open, above board, and visible to all.

I think I've beaten this thing to death. It seems that only a handful of people on this thread care about what I perceive as a major abuse by virtually all companies. I feel a bit lonely being one of the few who's noses are bent out of shape by corporations that we own feeling that top managers have a right to pick our pockets.
