>>My DD shows that TLAB has under $200 million in cash on hand<<

I don't believe for a moment that the 32 buck a share offer is for real, but -- that's what banks are for - to finance buy-outs among other things.

See comments from the Warburg Dillon Read telecom conference , as reported on the WSJ interactive edition today.......

------------------------------------

" Other presenters at the conference included Lucent Technologies Inc. (LU), QualComm Inc. (QCLM) and Ciena Corp. (CIEN).

After a painful third quarter in which it posted disappointing earnings as its proposed merger with Tellabs Inc. (TLAB) fell apart, Ciena acknowledged that it faces challenges in the coming quarters.

"We have a couple of quarters ahead of us that will be difficult to manage through," said Steve W. Chaddick, senior vice president for strategy and corporate development.

Ciena makes products that increase the capacity of optical communications networks. The field has become increasingly competitive, squeezing Ciena's margins.

The company is making an effort to cut costs in response. Chaddick declined to discuss details.

Telecommunications equipment makers Lucent and Qualcomm both said they see strong growth in their markets. "
