I disagree. Failure of the long-touted e.Commerce deal would be a material fact, and any failure to disclose timely could result in stockholder suit. How do you know Panasonic deal is still pending. Your comment about what you have heard is not a "fact" nor credible, since there is no (i) name or (ii) timeframe associated with it. I am back in "danger mode" with this stock, which is why I did not average down as heavily as others in the first place. Something about throwing good money after bad.
