Lytton Minerals Limited - Litigation settled - new Board of Directors (TSE/VSE: LTL) TORONTO, Nov. 16 /CNW/ - Lytton Minerals Limited (the ''Company'') announces that all litigation brought by Mr. Howard Miller and the Fern Trust against the Company, certain associated companies and certain directors and former directors is to be terminated by agreement. Neither the Company nor any other party has acknowledged or admitted to any liability accruing from the claims or allegations made in that litigation, and all relevant parties will be executing mutual releases. To facilitate reaching this agreement and on the advice of the independent litigation committee of the board of directors that a resolution of this litigation was in its best interest, the Company has agreed to pay Mr. Miller's legal costs. The settlement is subject to certain conditions which must be fulfilled including court approval. As part of the settlement, at the Company's Annual General Meeting scheduled for November 16th, 1998, the Company will propose to increase the size of the board to seven directors. Mr. Miller had circulated an alternate proxy and information circular which proposed the following directors for election: Mr. Miller, Mr. Paul Carroll, Mr. Robert Dickson, Mr. Patrick Lavelle and Mr. Robert Watts. Current directors, Mr. Harry Dobson, Mr. Desmond Alexander and Mr. Michael Stoner have agreed to withdraw their names for re-election, such that the directors proposed for election will be the five named by Mr. Miller together with Mr. John Kearney and Mr. Ray Davies, both current directors. The Company looks forward to continuing to build on the success already achieved in the exploration and development of its Northwest Territories diamond projects. A diamondiferous kimberlite discovery was recently made in September 1998, opening up exciting new exploration prospects in the greater Jericho area.
