A number of leading mutual funds have been accumulating ASND recently, according to IBD:

Ascend Communications was a top new buy at MFS Large Cap Growth B Fund, One Group Large Company Growth Fund and Preferred Asset Allocation Fund, as of the latest reporting date.

Ascend, an Alameda, Calif.-based networking equipment maker, cleared a 16-week base earlier this month and has been trending higher since.

I can't disagree with any of your points. However I can't get this thought out of my mind.

Chambers sitting around considering doing business against LU/ASND. Would it be easier to spend the $15B and keep LU in a box....and steal ASND from their grasp? This is actually what happened with the STRM aquisition. CSCC didn't shun CSCO...rather the gang at STRM was considering doing business against CSCO/CSCC and figured they wouldn't succeed. So, STRM approached CSCO with a "better deal". I believe CSCC was looking for $6B at the time and STRM came in at $4B. Funny thing is CSCC ended up selling for ...what...something like $2 or $3B in the end to ASND.

Well, it's going to be interesting....
