Treetopflier gave you the correct answer.....albeit the Cliff Notes version.<g>

IRS publication 550 discusses stock dividends. As treetopflier noted,
they are not taxable UNLESS they meet one of six various conditions.
This stock dividend does not meet any of the conditions listed, so it
will not be taxable.

(Most of the six exceptions deal with the recipient having a choice
of receiving cash or stock, or preferred stock instead of common.
The NEON press release gave no indication that anyone would get anything other than good old fashioned NEON common)
