I think you are right as long as MGMA does not surprise the market with earnings of lets say $.60 per share instead of the projected $.40.

I emailed MGMA to determine whether or not their projected $.40 per share included the soon to be converted shares. I received this response today:

"Dear Sir:

My sincere apology for the delay in responding to your inquire of 11-06-98.

The Company's press release dated July 16, 1998 "estimated that revenues from Fanzine acquisition would have a positive impact on net earnings by adding $.30 per share after consideration of full stock dilution." If Metros other operations duplicates last year's net earnings of $ .09 then the approx. $.40 should be reached.
Thank you very much for your inquire. Again sorry for delayed response.

In the future you may feel free to contact me at (800) 695-7463.

Edward James"
