To anyone interested,not all convertible debentures are floorless,here is an example of a finely written convertible placement(and it's even a Reg S) --the important points to note,are the set(with a floor) conversion terms...

But also notice-they did file an 8-K with the SEC after they made the placement.I don't know what the guidelines are regarding the requirements of filing,hopefully we will see TSIG's soon..
PS: I guess you have noticed--I follow convertibles very closely,they are fascinating instruments of finance..but they have to be written properly or the results can be very dilutive..
