On the one hand, the converted shares are unrelated to the 4,480,000 shares the "return" of which has been demanded by AZNT.

I don't believe that this is true. Included in this 4.48M shares are Gary Sylver's shares. And these were included in the list that was converted Nov 10th. to preferred non-voting according to the 10K that was filed. So in fact Kerry does have a possible point here. The real issue though may be with regard to the lack of disclosure on the 10-K itself. For it is here that while they make the claim that these shares have been cancelled, they have not in fact been fully forthcoming in either disclosing that there are a few technical hang ups like the freeze in the DTC, their own freeze and the injunction in Federal Court as well as the oversight with regard to failing to disclose the terms associated with the preferred shares. These seem mighty material facts to me.

I might add that applying the "duck" principle to these preferred shares - if they still have voting rights, they are still quacking mighty similarly to a duck.
