If I were operating in the mode management appears to be operating in here, I would do an RS before announcing the financing, possibly even delay the financing until after an RS. Here's how I see it developing:

1. Issue the max before year end to squeeze as much blood as possible from the stone before it crumbles (500MM)
2. Delay the financing until late January/early February
3. Execute the RS in early January (after the year end dumpers have done their tax-loss selling).
4. Do a 100:1 RS and get the price up into the "magic" $.50-1.00 region.
5. Execute and announce the financing along with verbiage designed to distance themselves from the "old days" pre-RS.
6. Turn the presses back on and make millions on the ensuing glut of new investors.

A pretty crappy scenario I admit, but nonetheless, one that I see as possible given management's obvious disregard for shareholder trust, and use of shareholder interest as a means of funding their operation.
