This is the law firm which seems to be taking the lead. I just received a copy of the complaint and as others have stated on this board, there seems to be a great deal of alleged underhand practices by Shiva management. Some I paraphrase from memory:
1. repricing board of directors warrants to $6
2. Not repricing the same type of warrants held by employees and management for employees but doing so for management.
3. Not sending an outside evaluation used by board of directors to justify sell to the SEC and stating management will do so only if SEC requests.
4. 6 directors have some sort of ties to Intel.
5. directors not soliciting other offers since there seem to have been four prior ones.
6. If deal fails due to Shiva getting another offer except for a vary narrow reason, Shiva must pay Intel $5.400,000 (this number is from memory but it was 4.5 or 5.4)
The law firm sent me a copy of the complaint via e-mail, but I don't know how to add an attachment (word doc) to this message. If anyone knows how, post it and I will do so.
I have e-mailed Mr. Michael G. Lange from the law firm requesting who else has joined the class action besides the two share holders named as plaintiffs in the complaint I have. I believe the law firm wants others to join.
