Thoughts on proposed new domicile

If Neuprex were to fail, as suggested by some posters both here and on Yahoo boards, what would happen to the value of the recent sizeable insider share purchase(s)? So far, at least, I don't see that money running for the exits. Insider buying is, of course, no guarantee of success, but it is still a positive factor, IMO.

Some posters have also suggested a motive for the move might be limitation of liability from shareholder lawsuits in the event of failure to get regulatory approval. I have my doubts about that argument. Multinational companies doing business in the U.S. can and do get sued in the U.S.. Specifically, I found from a web search that there are (or were) product liability suits against foreign based automobile companies. (Note: I am Not an attorney. Check all facts for yourself. Do not take this as legal advice. etc. etc. etc. All IMO)

I hope that Neuprex is approved, lives are saved, and shareholders do well.

opalapril, just a reminder, please don't forget to let me know about the name, someday, when you are ready to.

I think the prospectus must explain the tax implications. If XXX million is earned in the Europe, what are the total worldwide tax consequences under the existing corporate structure. What will they be under the proposed structure.

Also, and I had help seeing this, I believe the prospectus must clearly explain how the new structure facilitates partnerships.

"....and provide other benefits, such as facilitating collaborations and partnerships..."

With all of us reading, (some exceptions for some on Yahoo, who just can't), the prospectus, we should be able to make a reasonable determination as to what drives this desire to change domicile.

" There's only one "benefit" to doing this that I can see. Limited liability. Xoma expects to be sued."

why not explain to us the limited liability?

How is a limited liability different for a Bermuda domiciled company still trading on NASDAQ in USA ?
