YOu can find it in the uBID S-1. Well, the S-1 isn't effective yet, but there are some details about completing the spinoff. Not earlier than 180 days from the IPO, upon fulfilling some covenants, uBid shares will be distributed to the MALL shareholders of a certain, now unknown record date. One of the covenants is that MALL has to distribute 80% or more to have qualified the transaction as "tax-free", so the uBID shares would enter the investor portfolios at cost.
