My experience with sin-offs. Company would issue me a number of shares of the spin-off company in direct relationship to the number of shares I owned.
Best spin-off was Coors spinning off Coors X. They issued 2 shares of Coors X for each 3 shares of Coors owned. The Coors X was worth more then the Coors brewing operation, and I sold it for a tidy profit after holding for a year. The companies became two stand alone companies with independent management and share holders. If this spin-off works the same way, it should be a good deal for everyone.

It could be looked at as a reverse merger. The sum of the parts are worth more then the combined company. I believe IT&T did the same thing. The break up of all the companies allowed each to be recognized on it's own merits.
