France Ready To See BAe-Dasa Merger Before Defense Pact Dow Jones Newswires -- November 24, 1998 PARIS (Dow Jones)--The French government is prepared to see a merger between British Aerospace PLC (U.BA) of the U.K. and Germany's Daimler-Benz Aerospace AG as the first step in the restructuring of the European defense industry, a spokeswoman for the French Industry Ministry said Tuesday. BAe and Dasa are understood to be in advanced talks on a two-way alliance, frustrated at the French government's slow progress in withdrawing from its role as a major shareholder in the French defense sector, particularly through its control of aero-defense group Aerospatiale SNI (F.ASP). The ministry spokeswoman said whether the BAe-Dasa merger takes place before or at the same time as a merger with Aerospatiale is immaterial, given "the logic" of creating a pan-European company which all sides share. A two-step process is "possible, but not probable," she told Dow Jones Newswires. BAe and Dasa have seen the French government's shareholding in Aerospatiale as an impediment to the creation of successful pan-European enterprise. In a sign that the French government was reacting to the prospect that it might be marginalized in European aerospace and defense restructuring, it agreed earlier this year to privatize Aerospatiale amid a wider shake-up of the domestic defense sector. Yet, BAe and Dasa remain reluctant to merge with even a privatized Aerospatiale so long as the French government remains a shareholder. However, French Industry Secretary Christian Pierret said earlier Tuesday that failure to merge Aerospatiale, BAe and Dasa would be disastrous for the European industry. "European companies must succeed together on the world stage. Failing (to reach an agreement), we would leave the field entirely free to U.S. companies: it is the very survival of our European industry that would be at risk," Pierret told a conference in Lyon. Dominique Strauss-Kahn, France's finance, industry, and economics minister, briefed a parliamentary committee on the latest developments in the defense sector earlier Tuesday. The spokeswoman gave no details of Strauss-Kahn's briefing. There has been speculation that alongside BAe, Dasa, Aerospatiale merger talks, French telecommunications equipment supplier Alcatel (ALA) might seek fresh ties with state-owned defense electronics group Thomson-CSF (F.CSF), in which it has a 16% stake, to facilitate a merger between Thomson-CSF and U.K. engineering group General Electric Co.
