Marketwatch.com files amended IPO

WASHINGTON, Nov 27 (Reuters) - Real-time online business news provider Marketwatch.com Inc filed an amended initial
public offering registration statement with the Securities and Exchange Commission on Friday.

The San Francisco-based company said it was offering 2,750,000 common shares that may be priced between $10 and $12
per share. The underwriters, which include BT Alex. Brown and Donaldson, Lufkin & Jenrette, have an over-allotment on
412,500 additional shares.

The details were not disclosed in the company's original filing on Oct. 13.

Net proceeds will be used to repay debt and for general corporate purposes, including working capital.

The company will have 11,750,000 shares outstanding after the offering.

It has applied to trade the shares on Nasdaq under the symbol "MKTW."

Marketwatch.com was formed in October 1997 as a 50/50 joint venture between CBS Corp and Data Broadcasting Corp .
After the offering, they will each own about 38 percent of the company's outstanding common stock.
